These Terms and Conditions of Use (hereinafter the "Terms") constitute a legally binding agreement between you (hereinafter the "User") and Yo Book SARL (hereinafter "Yo Book" or "we"), governing your access to and use of the Mymeal platform, including the website accessible at www.mymeal.ma and associated mobile applications (collectively referred to as the "Platform" or "Mymeal").
Yo Book reserves the right to modify, amend, or update these Terms at any time. Users will be notified of material changes via email or Platform notification. Continued use of the Platform following such modifications constitutes acceptance of the revised Terms.
ARTICLE 1. LEGAL NOTICE AND PUBLISHER INFORMATION
1.1 Platform Publisher. The Mymeal platform, encompassing the website www.mymeal.ma and all associated mobile applications (iOS & Android), is published, owned, and operated by Yo Book SARL, a limited liability company organized under the laws of Morocco. The company maintains a registered share capital of One Hundred Thousand Moroccan Dirhams (100,000 MAD) and is domiciled at C/o Plateau N°04, 1er étage Dar Raiss, Avenue 29 Février, Talborjt - Agadir, Morocco.
1.2 Platform Purpose. Mymeal operates as a digital intermediary platform designed to facilitate table reservations at participating restaurants throughout Morocco. The Platform does not provide dining services directly but rather connects Users with independent Restaurant establishments.
1.3 Contact Information. For any inquiries, concerns, complaints, or requests regarding these Terms, the Platform, or your account, Users may contact Yo Book through the following channels: Electronic mail: support@yobook.ma; Postal mail: Yo Book SARL, C/o Plateau N°04, 1er étage Dar Raiss, Avenue 29 Février, Talborjt - Agadir, Morocco.
1.4 Hosting. The Platform is hosted on secure servers located in compliance with applicable Moroccan regulations and international data protection standards.
ARTICLE 2. DEFINITIONS
For the purposes of these Terms, the following capitalized terms shall have the meanings set forth below:
"Mymeal" or "Platform" means the table reservation and restaurant discovery platform owned and operated by Yo Book SARL, accessible via the website www.mymeal.ma and mobile applications, including all content, features, functionalities, and services provided therein.
"User" means any natural person aged eighteen (18) years or older who accesses, browses, or uses the Platform, whether or not such person maintains an active account on the Platform.
"Account" means the personal user profile created on the Platform upon successful registration, containing User information, preferences, reservation history, and Miams balance.
"Restaurant" means any dining establishment, food service provider, or hospitality venue that is listed on the Platform and has entered into a partnership agreement with Yo Book.
"Reservation" means a confirmed table booking made by a User through the Platform for a specific date, time, and number of guests at a participating Restaurant.
"Miams" means loyalty reward points awarded to Users through the Mymeal Loyalty Program for completing certain actions on the Platform, as further detailed in Article 8 hereof.
"No-Show" means the failure of a User to honor a confirmed Reservation without providing advance cancellation notice in accordance with the Restaurant's cancellation policy.
"Review" means any written evaluation, rating, comment, or feedback submitted by a User regarding their dining experience at a Restaurant.
ARTICLE 3. DESCRIPTION OF SERVICES
3.1 Platform Services. Mymeal operates as a technology intermediary connecting Users with Restaurants. The Platform provides the following core services: (a) searchable database of participating Restaurants with detailed information including cuisine type, location, operating hours, menu offerings, and user reviews; (b) real-time table availability and instant reservation booking system; (c) reservation management tools including confirmation, modification, and cancellation capabilities; (d) access to exclusive promotional offers, discounts, and special events provided by participating Restaurants; (e) loyalty rewards program (Miams) rewarding Users for completed reservations; (f) user review and rating system to share dining experiences; (g) personalized recommendations based on User preferences and history.
3.2 Intermediary Role. Yo Book acts solely as an intermediary platform facilitating connections between Users and Restaurants. Yo Book does not: (a) own, operate, manage, or control any Restaurant listed on the Platform; (b) employ or supervise Restaurant staff; (c) prepare, serve, or deliver food or beverages; (d) establish Restaurant policies, prices, menus, or operating procedures; (e) guarantee the quality, safety, legality, or hygiene standards of Restaurant services. Each Restaurant operates as an independent third-party establishment and maintains sole responsibility for all aspects of its dining services, food preparation, customer service, and compliance with applicable health, safety, and licensing regulations.
3.3 No Warranty. Mymeal does not warrant, guarantee, or assume any responsibility for: (a) Restaurant availability or acceptance of reservations; (b) accuracy or completeness of Restaurant information displayed on the Platform; (c) quality, taste, presentation, or safety of food and beverages; (d) Restaurant adherence to promised services, promotions, or offers; (e) User satisfaction with Restaurant services or experiences.
3.4 Service Availability. Current Platform services are provided free of charge to Users. Yo Book reserves the right to introduce fees, subscription models, or premium services at any time in the future. Users will receive thirty (30) days' advance notice of any material changes to the pricing structure. Yo Book may modify, suspend, or discontinue any Platform features or services without liability.
3.5 Geographic Scope. The Platform currently operates within Morocco. Availability of specific features, Restaurants, or services may vary by geographic location. Yo Book may expand or restrict service areas at its sole discretion.
ARTICLE 4. USER ACCOUNT REGISTRATION AND MANAGEMENT
4.1 Eligibility Requirements. To create an Account and use the Platform's reservation features, you must satisfy the following cumulative conditions: (a) be at least eighteen (18) years of age; (b) possess the legal capacity to enter into binding contractual agreements under Moroccan law; (c) not be prohibited from using the Platform by any applicable law, regulation, or prior agreement with Yo Book; (d) provide accurate, current, and complete registration information.
4.2 Account Creation Process. To create an Account, you must complete the registration process by providing the following mandatory information: (a) full legal name; (b) valid email address; (c) active mobile telephone number; (d) secure password meeting minimum complexity requirements. Upon submission of registration information, you will receive a one-time password (OTP) via email or SMS for identity verification purposes. Failure to verify your identity within forty-eight (48) hours will result in automatic deletion of the incomplete registration.
4.3 Information Accuracy. You represent and warrant that all information provided during registration and throughout your use of the Platform is accurate, current, complete, and truthful. You agree to promptly update your Account information to maintain its accuracy. Provision of false, misleading, or outdated information constitutes a material breach of these Terms and may result in immediate Account suspension or termination.
4.4 Account Security and Confidentiality. You bear sole responsibility for: (a) maintaining the confidentiality of your Account credentials (username and password); (b) all activities that occur under your Account, whether authorized or unauthorized; (c) preventing unauthorized access to your Account. You must not: (a) share your Account credentials with any third party; (b) allow any other person to access your Account; (c) use another User's Account without authorization. You must immediately notify Yo Book at support@yobook.ma if you suspect unauthorized access, security breach, or fraudulent activity involving your Account.
4.5 Account Suspension. Yo Book reserves the right to suspend or restrict access to your Account, with or without notice, if: (a) you violate any provision of these Terms; (b) you accumulate four (4) No-Shows or late cancellations within a twelve (12) month period; (c) you engage in fraudulent, abusive, or unlawful conduct; (d) your Account is used for commercial purposes without authorization; (e) we reasonably believe such action is necessary to protect Yo Book, other Users, or Restaurants.
4.6 Account Closure. You may close your Account at any time by: (a) submitting a closure request via email to support@yobook.ma with "Account Closure Request" in the subject line; or (b) using the account deletion function within the mobile application. Upon Account closure: (a) all pending Reservations will be automatically canceled; (b) all accumulated Miams will be immediately forfeited without compensation; (c) you will lose access to reservation history and saved preferences; (d) personal data will be processed in accordance with our Privacy Policy and applicable data protection laws.
ARTICLE 5. RESERVATIONS AND BOOKING POLICY
5.1 Making Reservations. The Platform enables Users to make restaurant reservations based on availability pre-assigned and made accessible by participating Restaurants. Availability displayed on the Platform is provided directly by the relevant Restaurant and reflects booking slots allocated by such Restaurant for instant confirmation. By completing the reservation process, the User submits a binding booking request for the selected date, time, and party size, subject to the Restaurant’s specific policies, capacity limitations, minimum or maximum party size requirements, advance booking windows, and any special conditions applicable to holidays or events.
5.2 Reservation Confirmation. Reservations made through pre-assigned availability are confirmed instantly upon successful completion of the booking process on the Platform. A confirmation notification, including the relevant booking details, will be issued via email and/or in-app notification. The User is solely responsible for verifying the accuracy of the reservation details at the time of confirmation, complying with the Restaurant’s policies, and arriving at the Restaurant at the designated reservation time. Yo Book shall not be liable for inaccuracies, technical discrepancies, or operational errors arising from availability data provided by the Restaurant.
5.3 Reservation Modifications. Users may request modifications to an existing Reservation through the Platform, including changes to the reservation date, time, or party size. Any such modification remains subject to Restaurant approval and availability and shall not be deemed effective unless expressly confirmed through the Platform. Restaurants retain sole discretion to accept or decline modification requests in accordance with their internal policies and operational capacity. Modification requests submitted within twenty-four (24) hours of the scheduled reservation time may be restricted or unavailable.
5.4 Cancellation Policy. Each Restaurant establishes its own cancellation policy, which is displayed on the Platform at the time of booking. Cancellation policies typically specify a minimum notice period (the "Cancellation Window") within which Users must cancel to avoid No-Show designation. Cancellations made within the Cancellation Window are processed without penalty. Cancellations made outside the Cancellation Window ("Late Cancellations") may be treated as No-Shows for the purposes of the account suspension policy described in Article 5.5.
5.5 No-Show Policy and Account Suspension. A No-Show occurs when a User fails to honor a confirmed Reservation without providing advance cancellation notice in accordance with the Restaurant's Cancellation Window. Yo Book maintains a strict accountability system to protect Restaurant partners: Users who accumulate a total of four (4) incidents within any rolling twelve (12) month period will have their Account automatically suspended. An "incident" includes: (a) confirmed No-Shows; or (b) Late Cancellations made outside the Restaurant's designated Cancellation Window. Account suspension results in immediate loss of access to all Platform features. Suspended Users may contact support@yobook.ma to request Account reinstatement after thirty (30) days, subject to Yo Book's sole discretion.
5.6 Special Circumstances. Yo Book may waive No-Show designation in extraordinary circumstances including documented medical emergencies, natural disasters, or other force majeure events beyond User control. Users must provide supporting documentation within seventy-two (72) hours of the missed reservation to request exception consideration.
5.7 Restaurant Compliance. By making a Reservation through the Platform, you agree to comply with all Restaurant-specific terms, policies, and requirements, which may include: (a) dress codes; (b) minimum consumption requirements; (c) special event terms and conditions; (d) deposit or prepayment requirements; (e) age restrictions (such as adults-only dining); (f) time limits for table occupancy.
5.8 Platform Limitations. Mymeal does not guarantee that: (a) Reservations will be available at your desired Restaurant, date, or time; (b) Restaurants will honor confirmed Reservations; (c) Restaurant information displayed on the Platform is current or accurate; (d) you will be satisfied with your dining experience. In the event a Restaurant fails to honor a confirmed Reservation, your sole remedy is to address the matter directly with the Restaurant.
ARTICLE 6. PROHIBITED CONDUCT AND USER OBLIGATIONS
6.1 General Prohibitions. Users shall not engage in any of the following prohibited activities:
(a) Use the Platform for any unlawful, fraudulent, or unauthorized purpose;
(b) Make false, fictitious, or fraudulent Reservations with no intention to honor them;
(c) Create multiple Accounts to circumvent suspension or accumulate Miams fraudulently;
(d) Use the Platform for commercial purposes, including restaurant booking services for third parties, without written authorization from Yo Book;
(e) Copy, reproduce, distribute, modify, or create derivative works from Platform content, including but not limited to text, graphics, logos, images, or software;
(f) Use automated systems, robots, spiders, scrapers, or data mining tools to access, monitor, or extract data from the Platform;
(g) Attempt to gain unauthorized access to the Platform, other User Accounts, or Yo Book's computer systems;
(h) Interfere with, disrupt, or impose unreasonable burdens on the Platform's infrastructure or networks;
(i) Post, transmit, or disseminate any content that is defamatory, obscene, offensive, threatening, harassing, discriminatory, or otherwise objectionable;
(j) Violate any applicable laws, regulations, or third-party rights, including intellectual property, privacy, or publicity rights;
(k) Impersonate any person or entity or misrepresent your affiliation with any person or entity;
(l) Transmit viruses, malware, or any harmful code that could damage or interfere with the Platform.
6.2 Enforcement and Remedies. Violation of any prohibition set forth in this Article 6 constitutes a material breach of these Terms and may result in: (a) immediate Account suspension or termination; (b) forfeiture of all Miams; (c) cancellation of pending Reservations; (d) restriction from creating future Accounts; (e) legal action to recover damages or obtain injunctive relief; (f) reporting to law enforcement authorities where appropriate.
ARTICLE 7. USER REVIEWS AND RATINGS SYSTEM
7.1 Review Eligibility. Only Users who satisfy all of the following conditions may submit Reviews: (a) the User made a Reservation through the Platform for the Restaurant being reviewed; (b) the User honored the Reservation and completed the dining experience; (c) the User is not employed by, affiliated with, or has any financial interest in the Restaurant being reviewed or any competing restaurant; (d) the User's Account is in good standing (not suspended or terminated).
7.2 Review Standards and Content Requirements. All Reviews must: (a) be based on the User's genuine, personal dining experience; (b) be honest, accurate, and factual to the best of the User's knowledge; (c) reflect the User's sincere opinions and observations; (d) relate solely to the specific Restaurant visited and not reference competing establishments; (e) be written in a respectful, constructive manner. Reviews must not: (a) contain profanity, vulgarity, or offensive language; (b) include personal attacks, insults, or defamatory statements about restaurant staff or other patrons; (c) contain discriminatory language based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics; (d) disclose personal information about other individuals; (e) include external links, promotional content, or spam; (f) violate intellectual property rights; (g) be illegible, incomprehensible, or irrelevant to the dining experience.
7.3 Review Moderation Process. All Reviews submitted to the Platform are subject to moderation by Yo Book. Moderation may be conducted through: (a) automated filtering systems that flag potentially problematic content; (b) manual review by Yo Book's moderation team; (c) user-generated reports of inappropriate content. The moderation process typically takes up to fourteen (14) calendar days. Yo Book reserves the right to: (a) reject, edit, or remove any Review that violates these Terms; (b) delay publication pending verification or additional information; (c) remove previously published Reviews if violations are discovered; (d) request supporting documentation or clarification from the reviewing User.
7.4 Fraudulent Reviews. Yo Book maintains a zero-tolerance policy for fraudulent Reviews. If Yo Book identifies or reasonably suspects that a Review is fraudulent, fabricated, or posted in violation of these Terms, we may: (a) remove the Review and all associated content; (b) immediately suspend or terminate the User's Account; (c) forfeit all Miams accumulated by the User; (d) cancel pending Reservations; (e) ban the User from creating future Accounts.
7.5 License Grant for User Content. By submitting a Review or any other content to the Platform, you grant Yo Book a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to: (a) use, copy, reproduce, distribute, publish, display, and perform your Review across all media; (b) modify, adapt, translate, or create derivative works from your Review; (c) incorporate your Review into advertisements, marketing materials, or promotional campaigns; (d) allow third-party partners, affiliates, or licensees to use your Review; (e) display your username, first name, and first initial of your last name alongside your Review. You waive any moral rights to the extent permitted by law.
7.6 Review Display. Published Reviews will display the following information: (a) User's first name and first initial of last name; (b) date of dining experience; (c) numerical rating (if provided); (d) written comments; (e) number of Reviews the User has submitted; (f) User's member-since date. Yo Book reserves the right to adjust Review display format, organization, or prominence based on relevance algorithms, recency, or other factors.
7.7 Restaurant Right of Reply. Restaurants have the right to respond to User Reviews within sixty (60) days of publication. Restaurant responses: (a) may present the Restaurant's perspective or version of events; (b) may express gratitude for User feedback; (c) may inform Users of changes implemented since the Review; (d) must comply with the same content standards applicable to User Reviews; (e) are subject to similar moderation processes. Restaurant responses exceeding the length of the original Review may be edited for brevity.
7.8 Review Modification and Removal Requests. Users may request modification or removal of their own Reviews by contacting support@yobook.ma with "Review Request" in the subject line and providing: (a) Review reference number or URL; (b) Restaurant name and dining date; (c) specific requested action; (d) reason for the request. Yo Book will process legitimate requests within fourteen (14) business days. Yo Book reserves the right to deny requests that appear designed to manipulate ratings or suppress legitimate feedback.
ARTICLE 8. MIAMS LOYALTY PROGRAM
8.1 Program Overview. The Miams Loyalty Program (the “Program”) is a rewards initiative operated by Yo Book to incentivize User engagement with the Platform. Miams are digital loyalty points that Users can earn by completing certain qualifying activities and redeem for specified benefits as determined by Yo Book. All eligible Users are automatically enrolled in the Program upon creating an account or using the Platform. Participation in the Program remains subject to these Terms.
8.2 Earning Miams. Users earn Miams for the following qualifying activities: (a) successfully completing (honoring) Reservations made through the Platform; (b) submitting Reviews for Restaurants where Reservations were honored; (c) participating in promotional campaigns or special offers as announced by Yo Book; Miams are credited to User Accounts only after confirmation that the qualifying activity has been completed. For Reservations, Miams are typically credited within seventy-two (72) hours after the reservation date. Users are awarded Miams as follows:
- 100 Miams for each reservation that is honored and completed;
- 50 Miams for each valid review submitted following a completed reservation;
- 250 Miams for each successful referral, provided that the referred user creates an account and completes a qualifying reservation.
Yo Book reserves the right to modify the number of Miams awarded, introduce bonus multipliers, or adjust eligibility criteria at its sole discretion, including but not limited to variations based on:(a) Restaurant partnership level;(b) Time of booking (e.g., off-peak versus peak hours);(c) Promotional or marketing campaigns;(d) Party size or total spending, where applicable.
All Miams are awarded subject to verification and compliance with these Terms.
8.3 Miams Valuation and Redemption. Miams are promotional loyalty points with no cash value and cannot be exchanged, transferred, or redeemed for money. Miams may be redeemed solely for discounts on future qualifying restaurant reservations made through the Platform.
The applicable conversion rate, discount structure, and any minimum Miams redemption thresholds shall be determined by Yo Book and may be modified at its discretion. Miams may only be redeemed in accordance with the conditions specified at the time of booking.
8.4 Miams Expiration and Forfeiture. Miams are subject to forfeiture under the following circumstances: (a) Account closure (voluntary or involuntary); (b) Account suspension or termination for Terms violations; (c) Account inactivity exceeding twelve (12) consecutive months; (d) detection of fraudulent activity or Program abuse; (e) User failure to maintain Account in good standing. Upon forfeiture, all Miams are permanently deleted and cannot be recovered or transferred. Yo Book will not provide compensation for forfeited Miams.
8.5 Non-Transferability. Miams are personal to the Account holder and may not be: (a) transferred to another User; (b) sold, bartered, or exchanged; (c) gifted or donated; (d) assigned or bequeathed by will or operation of law. Any attempt to transfer Miams will result in forfeiture of all Miams and potential Account termination.
8.7 Program Modification or Termination. Yo Book reserves the right to: (a) modify Program terms, including earning rates, redemption values, and qualification criteria; (b) add or remove redemption options; (c) suspend the Program temporarily for maintenance or improvements; (d) terminate the Program entirely. Material Program changes will be communicated to Users with thirty (30) days' advance notice. In the event of Program termination, Yo Book will provide Users with reasonable opportunity to redeem existing Miams before expiration.
8.8 Program Abuse. Yo Book maintains sophisticated fraud detection systems to identify Program abuse. Prohibited behaviors include but are not limited to: (a) creating multiple Accounts to accumulate Miams; (b) making false Reservations solely to earn Miams; (c) colluding with Restaurants to fraudulently credit Miams; (d) using automated systems to manipulate Miams earning; (e) exploiting Program loopholes or technical errors. Users engaged in Program abuse will have all Miams forfeited, Accounts terminated, and may face legal action.
ARTICLE 9. INTELLECTUAL PROPERTY RIGHTS
9.1 Platform Ownership. All intellectual property rights in and to the Platform, including but not limited to: (a) software, source code, and object code; (b) website design, layout, and architecture; (c) mobile application functionality; (d) text, graphics, logos, icons, and images; (e) trademarks, service marks, and trade names (including "Mymeal" and "Yo Book"); (f) databases and compilations; (g) proprietary algorithms and processes; are owned by or licensed to Yo Book. These Terms do not transfer any ownership rights to Users.
9.2 Limited User License. Subject to your compliance with these Terms, Yo Book grants you a limited, non-exclusive, non-transferable, revocable license to: (a) access and use the Platform for personal, non-commercial purposes; (b) download and display Platform content on personal devices solely for your own use; (c) print individual pages for personal reference. This license does not permit you to: (a) modify, copy, or distribute Platform content; (b) use Platform content for commercial purposes; (c) reverse engineer or decompile Platform software; (d) remove copyright or proprietary notices.
9.3 Trademark Usage. “Mymeal” and associated logos are trademarks of Yo Book SARL. You may not use these trademarks without prior written permission. Unauthorized use may constitute trademark infringement and unfair competition in violation of Moroccan and international laws.
9.4 User-Generated Content. You retain ownership of intellectual property rights in content you create and submit to the Platform (including Reviews). However, by submitting such content, you grant Yo Book the license described in Article 7.5. You represent and warrant that you own or have obtained all necessary rights to any content you submit.
9.5 Third-Party Content. The Platform may contain content provided by Restaurants or other third parties. Such content remains the property of its respective owners. Yo Book disclaims responsibility for third-party content accuracy or legality.
9.6 Infringement Reporting. If you believe your intellectual property rights have been infringed on the Platform, please notify us at support@yobook.ma with: (a) description of the copyrighted work or trademark; (b) location of the infringing material on the Platform; (c) your contact information; (d) statement of good faith belief; (e) statement of accuracy under penalty of perjury.
ARTICLE 10. DISCLAIMERS AND LIMITATION OF LIABILITY
10.1 Platform "As Is". THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE. Yo Book does not warrant that: (a) the Platform will operate uninterrupted or error-free; (b) defects will be corrected; (c) the Platform is free from viruses or harmful components; (d) Platform content is accurate, complete, or current.
10.2 Restaurant Services Disclaimer. YO BOOK MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING: (a) Restaurant service quality, food safety, or hygiene; (b) Restaurant compliance with health, safety, or licensing regulations; (c) accuracy of Restaurant information, menus, or pricing; (d) Restaurant acceptance or honoring of Reservations; (e) User satisfaction with dining experiences. Restaurants operate as independent third parties, and Yo Book disclaims all liability for Restaurant conduct.
10.3 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YO BOOK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: (a) loss of profits, revenue, or business; (b) loss of data or information; (c) loss of business opportunities; (d) personal injury or property damage; (e) emotional distress; ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHER LEGAL THEORY, EVEN IF YO BOOK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.4 Liability Cap. IN NO EVENT SHALL YO BOOK'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF: (a) the amount of fees (if any) paid by you to Yo Book in the twelve (12) months preceding the event giving rise to liability; or (b) One Hundred Moroccan Dirhams (100 MAD).
10.5 Force Majeure. Yo Book shall not be liable for any failure to perform obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of war or terrorism, government actions, labor disputes, internet or telecommunications failures, power outages, epidemics, or pandemics.
10.6 Jurisdictional Limitations. Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, the above limitations may not apply or may apply only to the extent permitted by law.
ARTICLE 11. PERSONAL DATA PROTECTION AND PRIVACY
11.1 Data Controller. Yo Book SARL acts as the data controller for personal data collected through the Platform. We process your personal data in accordance with applicable Moroccan data protection laws and international standards.
11.2 Data Collection and Use. By using the Platform, you acknowledge and consent to the collection, processing, and use of your personal data, including: (a) name, email address, phone number; (b) Reservation history and preferences; (c) Reviews and ratings submitted; (d) Miams balance and transaction history; (e) device information and usage data; (f) location data (when authorized). This data is used to: (a) operate and improve the Platform; (b) process Reservations; (c) communicate with you; (d) personalize your experience; (e) prevent fraud and ensure security; (f) comply with legal obligations.
11.3 Data Sharing. We may share your data with: (a) Restaurants where you make Reservations; (b) service providers assisting Platform operations; (c) legal authorities when required by law; (d) third parties in connection with business transfers. We do not sell your personal data to third parties.
11.4 User Rights. You have the following rights regarding your personal data: (a) Right of Access: request copies of your personal data; (b) Right of Rectification: correct inaccurate or incomplete data; (c) Right of Erasure: request deletion of your data (subject to legal retention requirements); (d) Right of Objection: object to certain data processing activities; (e) Right of Portability: receive your data in structured, machine-readable format. To exercise these rights, contact us at support@yobook.ma with "Data Rights Request" in the subject line.
11.5 Data Security. We implement reasonable technical and organizational measures to protect your data, including encryption, access controls, and secure servers. However, no method of transmission over the internet is completely secure, and we cannot guarantee absolute security.
11.6 Privacy Policy. For comprehensive information about our data practices, please review our Privacy Policy, which is incorporated into these Terms by reference and available on the Platform.
ARTICLE 12. ACCOUNT SUSPENSION AND TERMINATION
12.1 Grounds for Suspension or Termination. Yo Book reserves the right to suspend or terminate your Account immediately, with or without notice, if: (a) you breach any provision of these Terms; (b) you accumulate four (4) No-Shows or Late Cancellations within twelve (12) months; (c) you engage in fraudulent, abusive, or unlawful conduct; (d) you post prohibited content or Reviews; (e) your Account is used for unauthorized commercial purposes; (f) we reasonably believe such action is necessary to protect Yo Book, other Users, or Restaurants; (g) we receive legal orders or requests requiring Account closure.
12.2 Effect of Termination. Upon Account termination or suspension: (a) your access to the Platform will cease immediately; (b) all pending Reservations will be automatically canceled; (c) all accumulated Miams will be forfeited without compensation; (d) you will lose access to Reservation history, preferences, and Reviews; (e) you must cease all use of the Platform; (f) Yo Book may delete your Account data in accordance with our data retention policies.
12.3 Survival. The following provisions shall survive termination or expiration of these Terms: Article 7.5 (License Grant), Article 9 (Intellectual Property), Article 10 (Disclaimers and Limitations), Article 13 (General Provisions), and any other provisions that by their nature should survive.
12.4 Reinstatement. Suspended Users may request Account reinstatement by contacting support@yobook.ma no earlier than thirty (30) days after suspension. Reinstatement is subject to Yo Book's sole discretion and may require: (a) acknowledgment of Terms violations; (b) commitment to future compliance; (c) completion of Account verification procedures. Yo Book may deny reinstatement requests without explanation.
ARTICLE 13. GENERAL PROVISIONS
13.1 Amendment of Terms. Yo Book reserves the right to modify, amend, or update these Terms at any time in its sole discretion. Material changes will be communicated to Users via: (a) email to the registered email address; (b) prominent notice on the Platform; (c) in-app notification. Changes become effective thirty (30) days after notification, except for: (a) changes required by law (effective immediately); (b) security-related changes (effective immediately); (c) clarifications that do not materially affect User rights (effective upon posting). Continued use of the Platform after the effective date constitutes acceptance of the modified Terms.
13.2 Governing Law. These Terms shall be governed by, construed, and enforced in accordance with the laws of the Kingdom of Morocco, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
13.3 Jurisdiction and Venue. Any dispute, controversy, or claim arising out of or relating to these Terms, including their formation, interpretation, breach, or termination, shall be submitted to the exclusive jurisdiction of the competent courts of Agadir, Kingdom of Morocco. You irrevocably consent to the jurisdiction of such courts and waive any objection to venue.
13.4 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.
13.5 Waiver. No waiver by Yo Book of any breach or default under these Terms shall constitute a waiver of any subsequent breach or default. Any waiver must be in writing and signed by an authorized representative of Yo Book.
13.6 Assignment. You may not assign, transfer, or delegate your rights or obligations under these Terms without prior written consent from Yo Book. Yo Book may freely assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
13.7 Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Yo Book regarding the Platform and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.
13.8 No Third-Party Beneficiaries. These Terms are for the sole benefit of the parties and do not create any third-party beneficiary rights, except that Restaurants may enforce provisions protecting their interests.
13.9 Language. These Terms are drafted in English and French. Both versions shall be deemed authentic. In the event of any inconsistency between the two versions, the version published on the Platform at the time of the User’s acceptance shall prevail.
13.10 Notices. All notices to Yo Book must be sent to: support@yobook.ma or Yo Book SARL, C/o Plateau N°04, 1er étage Dar Raiss, Avenue 29 Février, Talborjt - Agadir, Morocco. Yo Book will send notices to your registered email address. Notices are deemed delivered upon sending.
