1. Introduction and Scope
These Restaurant Partner Terms and Conditions (“Terms”) constitute a binding agreement between your restaurant, café, or food establishment (“Partner”, “you”, or “your”) and Yo Book SARL, a limited liability company incorporated under the laws of Morocco, whose registered office is located at C/o Plateau N°04, 1st Floor Dar Raiss, Avenue 29 Février, Talborjt - Agadir, Morocco, owner and operator of the brand name Mymeal (“Mymeal”, “Company”, “we”, “us”, or “our”).
These Terms govern your registration as a Restaurant Partner on the Mymeal platform, including our website, mobile application, and all related services (the “Platform”), and the ongoing business relationship between you and Yo Book.
By submitting the Restaurant Owner registration form on the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not submit the form.
2. Definitions
- “Partner” refers to any restaurant, café, or food establishment that registers on the Platform through the Restaurant Owner registration form.
- “Partner Account” refers to the account created for the Partner upon approval of the registration application.
- “Authorized Representative” refers to the individual who submits the registration form on behalf of the Partner, as identified by name, email, phone, and role.
- “Diner” refers to end-users of the Platform who make reservations at Partner restaurants.
- “Reservation” refers to a table booking made by a Diner through the Platform at a Partner restaurant.
- “Listing” refers to the Partner’s profile page on the Platform, including restaurant name, location, menu, photos, operating hours, and other business information.
- “Partner Dashboard” refers to the management interface provided to Partners to manage reservations, availability, and Listing details.
3. Registration and Onboarding
3.1 Registration Form
To register as a Partner, you must complete the registration form providing the following information: the Authorized Representative’s first name, last name, email address, and phone number; the restaurant’s name, city, and country; and the Authorized Representative’s role within the establishment.
3.2 Accuracy of Information
You represent and warrant that all information provided in the registration form is accurate, complete, and up to date. You agree to promptly update any information that changes after registration.
3.3 Review and Sales Process
Submission of the registration form does not guarantee acceptance onto the Platform. A member of the Mymeal team will review your application and may request additional information or documentation. Mymeal reserves the right to approve or reject any application at its sole discretion, without being required to provide reasons for rejection.
If your application is approved, a member of the Mymeal sales team will contact you to discuss available partnership plans and subscription options suited to your establishment’s needs. The sales representative will present the applicable plans, features, pricing, and terms.
3.4 Contract Signing
Following the sales consultation, you will be required to sign a formal Partnership Agreement selecting the plan your establishment wishes to subscribe to. The Partnership Agreement will detail the specific plan, applicable fees, service level, duration, and any additional terms. No Partner Account will be activated until the Partnership Agreement has been duly signed by both parties.
3.5 Account Activation
Upon execution of the Partnership Agreement, Mymeal will activate your Partner Account and provide you with access to the Partner Dashboard. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
4. Partner Obligations
As a registered Partner on the Platform, you agree to:
- Provide accurate, complete, and up-to-date information about your restaurant, including business name, address, city, operating hours, menu, pricing, and available capacity.
- Keep your Listing and availability updated in real time through the Partner Dashboard to avoid overbooking or inaccurate information.
- Honor all reservations confirmed through the Platform and provide Diners with the quality of service represented in your Listing.
- Notify Diners promptly through the Platform if you must cancel or modify a confirmed reservation.
- Comply with all applicable Moroccan laws and regulations, including food safety and hygiene requirements (ONSSA regulations), business licensing, labor laws, and tax obligations.
- Comply with Moroccan data protection laws (Law No. 09-08) when handling Diner personal data received through the Platform.
- Not use Diner personal data obtained through the Platform for any purpose other than fulfilling the reservation and related service, unless the Diner has given separate, explicit consent.
- Maintain a professional and respectful relationship with Diners and with Mymeal.
- Not engage in any practices that could harm the reputation of Mymeal or the Platform.
5. Mymeal’s Obligations
Mymeal commits to providing the Partner with:
- Access to the Platform and Partner Dashboard for managing reservations and Listing information.
- A reservation management system to receive, confirm, and manage Diner bookings.
- Visibility on the Platform to Diners searching for restaurants in Morocco.
- Reasonable technical support for Platform-related issues.
- Prior notice of any material changes to these Terms, fee structures, or Platform functionality.
6. Reservation Management
6.1 Pre-Allocated Slots and Instant Confirmation
Reservations made by Diners through the Platform are confirmed instantly based on the availability slots you have pre-allocated through the Mymeal Manager Dashboard. You are responsible for configuring and maintaining accurate availability slots in the Dashboard to ensure that confirmed reservations can be honored.
6.2 Fulfillment
You agree to honor all confirmed reservations. Repeated failures to honor confirmed reservations may result in penalties, reduced visibility on the Platform, or termination of your Partner Account and Partnership Agreement.
6.3 Cancellations by Partner
If you must cancel a confirmed reservation due to exceptional circumstances (force majeure, emergency closure, etc.), you must notify the Diner as early as possible through the Platform and provide a reasonable explanation. Excessive cancellations may affect your Partner status.
6.4 No-Shows by Diners
Mymeal provides tools to help manage Diner no-shows. Mymeal is not responsible for Diner no-shows but will take reasonable measures to discourage this behavior on the Platform.
7. Fees and Payment
7.1 Fee Structure
Mymeal offers different partnership plans, each with its own set of features, service levels, and pricing. The applicable fees for your establishment are determined by the plan you select during the sales consultation and as set forth in the signed Partnership Agreement. Fees may include subscription fees, commission fees per reservation, setup fees, or other charges as specified in your Partnership Agreement.
7.2 Plan Selection
The specific plan, its features, and associated fees will be presented to you by the Mymeal sales team during the onboarding process. By signing the Partnership Agreement, you confirm your acceptance of the selected plan and its associated fee structure. Upgrading or downgrading your plan is subject to availability and the terms specified in the Partnership Agreement.
7.3 Invoicing and Payment
Mymeal will issue invoices in accordance with Moroccan commercial and tax regulations and the terms of your Partnership Agreement. Payment terms will be specified in the Partnership Agreement. Late payments may incur interest charges as permitted under Moroccan law.
7.4 Fee Modifications
Mymeal reserves the right to modify its fee structure with at least thirty (30) days’ prior written notice. Fee changes will apply at the start of the next billing cycle following the notice period. If you do not agree to the new fees, you may terminate your Partnership Agreement and Partner Account before the changes take effect.
8. Intellectual Property
8.1 Mymeal’s Intellectual Property
All intellectual property related to the Platform, including the Mymeal brand, logo, software, design, and documentation, is the exclusive property of Yo Book SARL. You may not use the Mymeal brand or logo without our prior written consent, except as necessary to indicate your participation on the Platform.
8.2 Partner Content
You retain ownership of the content you provide for your Listing (restaurant name, descriptions, photos, menus). By submitting this content to the Platform, you grant Mymeal a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute such content in connection with the operation and promotion of the Platform.
8.3 Diner Reviews
Reviews and ratings submitted by Diners about your restaurant are the property of Mymeal. You may not alter, suppress, or falsify Diner reviews. You may respond to reviews through the tools provided on the Platform.
9. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or sensitive business information disclosed by the other party during the course of their relationship. This includes, but is not limited to, fee structures, business strategies, customer data, and technical information. This obligation survives termination of the agreement for a period of two (2) years.
10. Limitation of Liability
The Platform is provided on an “as-is” and “as-available” basis. To the maximum extent permitted by Moroccan law:
- Mymeal does not guarantee uninterrupted or error-free access to the Platform.
- Mymeal is not liable for any losses arising from Diner behavior, including no-shows, cancellations, or disputes between you and Diners.
- Mymeal is not liable for the quality of food, service, or hygiene at your establishment.
- Mymeal’s total liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Mymeal in the twelve (12) months preceding the claim.
- In no event shall Mymeal be liable for indirect, incidental, consequential, special, or punitive damages, including loss of revenue, loss of customers, or business interruption.
11. Indemnification
You agree to indemnify, defend, and hold harmless Yo Book SARL, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: your use of the Platform; your breach of these Terms; your violation of any applicable law or regulation; any dispute between you and a Diner; or any claim related to the quality, safety, or legality of your products or services.
12. Term and Termination
12.1 Term
These Terms and the Partnership Agreement are entered into for an initial firm term of twelve (12) months starting from the Effective Date of the Partnership Agreement.
12.2 Termination After Initial Term
After the initial term, either party may terminate the Partnership Agreement by providing ninety (90) days’ written notice, sent by registered mail.
12.3 Early Termination
Any termination initiated by the Partner during the initial term results in the immediate obligation to pay all remaining subscription fees due until the end of the twelve (12) month period.
12.4 Price Increase Exception
In the event of a price increase during the initial term, the Partner may terminate the Partnership Agreement within thirty (30) days of notification, without early termination penalties.
12.5 Termination by Mymeal for Cause
Mymeal may suspend or terminate the Partner Account immediately with written notice in the event of:
- Material breach of these Terms or the Partnership Agreement.
- Repeated failure to honor confirmed reservations.
- Fraudulent, illegal, or unethical conduct.
- Non-payment of fees after formal notice.
- Actions that harm the reputation of Mymeal or the Platform.
12.6 Effects of Termination
Upon termination, your Listing will be removed from the Platform, and your access to the Partner Dashboard will be revoked. Any outstanding fees remain payable. Provisions that by their nature should survive termination (including confidentiality, intellectual property, limitation of liability, and indemnification) shall remain in effect.
13. Data Protection
The personal data you provide through the registration form and during the use of the Platform is processed in accordance with Moroccan Law No. 09-08 and our Privacy Policy for Restaurant Partners. For full details on how we collect, use, store, and protect your personal data and the personal data of your Authorized Representatives, please refer to our Restaurant Partner Privacy Policy.
You acknowledge that Diner personal data shared with you through the Platform is provided solely for the purpose of fulfilling reservations and related services. You agree to handle this data in full compliance with Law No. 09-08 and must not use it for unauthorized purposes, including unsolicited marketing, unless the Diner has given separate, explicit consent.
14. Representations and Warranties
By submitting the registration form, you represent and warrant that:
- You are duly authorized to operate a food establishment under Moroccan law and hold all required licenses and permits.
- The Authorized Representative submitting the form has the authority to bind the Partner to these Terms.
- All information provided is truthful, accurate, and not misleading.
- Your restaurant complies with all applicable food safety, hygiene, and health regulations.
- You will not use the Platform for any unlawful purpose.
15. Modifications to These Terms
Mymeal reserves the right to update or modify these Terms at any time. Any material changes will be communicated to you via email or through the Partner Dashboard with at least thirty (30) days’ prior notice. Continued use of the Platform after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree with the modifications, you may terminate your Partner Account before they take effect.
16. Governing Law and Competent Court
These Terms are governed by current Moroccan law.
THE COURTS OF AGADIR SHALL HAVE EXCLUSIVE JURISDICTION TO RULE ON ALL DISPUTES LIABLE TO ARISE BETWEEN THE PARTNER AND YO BOOK SARL RELATING TO THE INTERPRETATION, EXECUTION, OR TERMINATION OF THESE TERMS.
17. Miscellaneous
- Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
- Entire Agreement: These Terms, together with the signed Partnership Agreement, the Restaurant Partner Privacy Policy, and any applicable schedules or annexes, constitute the entire agreement between you and Yo Book SARL regarding your participation as a Partner on the Platform.
- No Waiver: The failure of Mymeal to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without the prior written consent of Mymeal. Mymeal may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Neither party shall be liable for failure to perform its obligations due to circumstances beyond its reasonable control, including natural disasters, government actions, pandemics, or internet outages.
